Chapter 4

The Moretti restructuring took eighteen months.

Nothing about it looked dramatic from outside.

Spreadsheets.

Claims.

Appraisals.

Hearings.

Creditor meetings.

Inside the family, it felt like an earthquake.

Two warehouses sold.

A minority hotel stake sold.

A private aircraft sold.

Three old guarantees settled.

One pension claim reopened.

Moretti Holdings became smaller.

Luca slept better.

He did not expect that.

Vittorio pled to financial concealment related to the Bellandi debt.

He cooperated.

Reduced sentence.

No board role afterward.

Elena Bellandi was cleared of knowingly signing the fake development loan.

Her company still failed.

She started over with nothing tied to either family.

Good.

Catherine resigned from the foundation before sentencing.

An independent board replaced her.

The foundation survived because legitimate scholarship recipients did not deserve to lose support over her crimes.

Roman remained in jail awaiting trial.

Then Carlo.

He pled guilty to identity fraud, tax offenses, obstruction tied to the fake death, and historical financial conspiracy.

His cooperation mattered.

So did his age.

So did his health.

He received home confinement and supervised release.

Some newspapers called it soft.

Luca did not argue.

Law was not a family vote.

Then Sofia’s divorce finalized.

She moved out of the estate.

Bought a smaller house by the lake.

No private wing.

No staff army.

She liked it.

Luca visited every Sunday.

One afternoon she handed him a tax form.

“Can you look at this?”

He stared at the pen.

She laughed.

“Don’t say it.”

“Don’t sign that.”

She threw a napkin at him.

Good.

Normal.

Then Carlo’s ring.

After evidence release, it came back from Vittorio’s case.

Carlo handed it to Luca.

“Take it.”

“No.”

“It will be yours eventually.”

“No.”

“Why?”

“Because too many people treated it like authority.”

Carlo looked at the ring.

“It was supposed to mean family.”

“It meant access.”

Carlo put it away.

No argument.

Then father and son began meeting once a month.

One hour.

Neutral places.

No business.

The first meetings were terrible.

Carlo explained too much.

Luca interrupted.

“I know why you did things.”

Carlo stopped.

“That doesn’t mean I forgive them.”

“I know.”

Then one day Carlo asked:

“Do you still think of me as your father?”

Luca looked confused.

“Yes.”

Carlo blinked.

“Why?”

“Because failure does not erase the noun.”

Then:

“It does erase authority.”

Carlo smiled sadly.

“Fair.”

Then Roman’s trial.

The prosecution showed Daniel’s voicemail.

The toxicology.

The vial.

Fingerprint.

Financial motive.

Roman’s attempt to seize Recovery Partners.

Daniel’s notes.

Roman was convicted.

Murder.

Fraud.

Obstruction.

Catherine’s separate case ended in conviction for fraud conspiracy and obstruction.

Not murder.

She served time.

Before prison, she wrote Sofia.

No reply.

Wrote Luca.

He read.

“I thought preserving the family justified using the people inside it.”

Accurate.

“I am sorry.”

No request.

Luca did not respond.

Then Daniel Caruso’s family.

Melissa rebuilt the firm.

She refused Moretti money for an ethics scholarship honoring her father.

Good.

Independence.

She did agree to serve later as outside fiduciary counsel.

Paid.

Transparent.

Nonexclusive.

Then Moretti governance.

Independent directors became majority.

Family seal retired.

No document could be authenticated by a crest alone.

No emergency transfer without two external reviews.

No death-triggered trustee controlled by a family member.

The old seal moved to archive.

A compliance analyst looked at it once.

“That almost transferred hundreds of millions?”

Luca answered:

“No.”

Then:

“People almost did. The seal just helped them pretend.”

Good.

Then one new acquisition.

The target disclosed an old Bellandi-linked guarantee.

Twenty million.

Board asked whether to bury it in price adjustments.

Luca said:

“Disclose.”

They did.

Deal became more expensive.

No scandal.

The system survived.

Then Carlo’s health declined.

Real heart failure.

No staged funeral jokes at first.

Then Carlo made one.

“I suppose I used my funeral already.”

Luca stared.

Then laughed despite himself.

Good.

On one hospital visit Carlo said:

“I was proud when you stopped your mother.”

“Because I protected company?”

“No.”

“Then why?”

“Because she didn’t understand what she was signing.”

Carlo looked tired.

“I spent my life asking people to sign things they didn’t understand because I thought I knew what was best.”

That was as close to confession as Luca needed.

Then:

“I let complexity become permission.”

Luca nodded.

“You did.”

No comfort.

No cruelty.

Truth.

Carlo died the following winter.

This time for real.

Hospital.

Family.

One doctor.

One certificate.

One body.

Sofia came.

Not as wife.

As someone who had shared forty years.

She held his hand near the end.

Luca stood on other side.

Afterward Nico asked:

“You want a second doctor?”

Luca said:

“Three.”

Then laughed through tears.

At the funeral, Luca did not call Carlo a good man.

He said:

“My father taught me how power works.”

Pause.

“He also taught me, mostly by failing, why power needs limits.”

That was enough.

Carlo’s ring went to Sofia.

His note:

You always knew what it cost.

She wore it once on a chain.

Then put it away.

No authority.

Only history.

The recovery monitor published quarterly reports listing claims paid and assets sold. No family member could change the order of payments by phone call.

When Carlo offered advice about the restructuring, Luca told him to send it through counsel like everyone else. Carlo disliked the boundary and followed it.

Daniel Caruso’s murder conviction did not make every suspicion around Roman true. The court rejected two unrelated allegations for lack of evidence, a distinction Luca came to value.

Sofia’s lakeside house had one guest room and no office. She said she had spent enough decades living inside buildings where business could enter any room.

At Carlo’s real funeral, the family used no Moretti seal on the program. Sofia chose plain paper. Luca noticed only after the service.

Later review note 1 for this stage recorded one concrete safeguard: the people responsible for the transaction had to identify the beneficiary, the successor decision-maker, the attached liabilities, and the independent reviewer before authority could move. The board adopted that requirement because the crisis in this chapter had shown exactly how ambiguity around those four facts could be exploited.
